Terms of Service

1. Acceptance of Terms

By accessing or using the Délassant website, mobile application, or any services provided by Delassant LLC ("Délassant," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Délassant. We reserve the right to modify these Terms at any time. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

2. Description of Services

Délassant operates a private relaxation studio in Sisters, Oregon, providing members access to premium automated massage chairs in a serene French Country-inspired setting. Our services include:

• Subscription-based access to our massage chair facilities
• Online reservation booking system
• Private access via personalized door codes
• Gift certificate purchases and redemption

Operating hours are 5:00 AM to 10:00 PM daily, Pacific Time. All services are provided at our Sisters, Oregon location.

3. Eligibility

You must be at least 18 years of age to become a member, use our facilities, or enter into any agreement with Délassant. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

No persons under 18 years of age are permitted in the studio at any time, including as guests.

4. Membership Registration and Account

To access our services, you must create a member account by providing accurate and complete information, including:

• First and last name
• Valid email address
• Phone number

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Email verification is required before your account becomes active. You agree to provide accurate, current, and complete information and to update such information as necessary.

5. Subscription Plans and Pricing

We offer the following monthly subscription plans:

All prices are in US Dollars and are subject to applicable taxes. Prices may be changed with 30 days' notice to existing members.

Minute Allotment: Monthly minutes are allocated at the beginning of each billing cycle. Unused minutes do not roll over to the next month and expire at the end of each billing period.

Definition of Minutes: All references to "minutes" in these Terms refer to studio access time—the duration of your reserved time slot at the facility. Studio minutes are distinct from massage chair runtime; you may use the massage chairs for any portion of your reserved studio time as you see fit.

6. Payment Terms

Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By subscribing to our services, you agree to Stripe's Terms of Service.

Automatic Renewal: All subscriptions automatically renew on a monthly basis. Your payment method will be charged automatically on each renewal date unless you cancel before the renewal date.

Payment Method: You authorize us to charge your provided payment method for all subscription fees, gift certificate purchases, and any other applicable charges. You are responsible for keeping your payment information current.

Failed Payments: If a payment fails, we will attempt to process the payment again. Your access to services may be suspended until payment is successfully processed. We will notify you of any payment failures via email.

Billing Cycle: Your billing cycle begins on the date of your initial subscription purchase and renews on the same date each month.

7. Cancellation Policy

Subscription Cancellation: You may cancel your subscription at any time through your member dashboard or by contacting customer support. Upon cancellation:

• You will retain access to your remaining minutes until the end of your current billing period
• You will not be charged for subsequent billing periods
• Unused minutes will not be refunded and will expire at the end of the billing period
• Your door code will be deactivated 90 days after your membership ends

Reservation Cancellation: Reservations may be cancelled through your member dashboard. The following policies apply:

• Cancellations made more than 2 hours before the reservation start time: Minutes are fully restored to your balance
• Cancellations made within 2 hours of the reservation start time: Minutes are deducted from your balance
• No-shows: Minutes are deducted from your balance

To modify a reservation, you must cancel the existing reservation and book a new one.

8. Refund Policy

We want you to be satisfied with our services. Our refund policy is as follows:

• Full Refund: Refund requests submitted within 30 days of your initial subscription or most recent renewal may be eligible for a full refund, at our discretion
• Prorated Refund: After 30 days, refunds will be prorated based on unused time in the current billing period
• Gift Certificates: Gift certificates are non-refundable but are transferable

To request a refund, please contact us through your member dashboard or email us at the address provided below. Refunds are processed within 5-10 business days to your original payment method.

We reserve the right to deny refund requests in cases of abuse, violation of these Terms, or at our sole discretion.

9. Gift Certificates

Gift certificates are available for purchase by members and are subject to the following terms:

• Available in 30-minute denominations for $30
• Valid for 12 months from the date of purchase
• Cannot be applied toward subscription payments (minutes only)
• Non-refundable but transferable
• Recipients must create a member account to redeem gift certificate minutes
• Expired gift certificates cannot be redeemed or refunded

10. Facility Rules and Member Conduct

Health and Safety

• Members with medical concerns should consult their physician before using our services
• By using our facilities, you represent that you are in sufficient physical condition to safely enter and exit the massage chairs and to safely endure the pressure and movement of the chairs
• No pets are permitted; only legally recognized service animals as defined by the ADA are welcome
• In case of medical emergency, call 911. An emergency contact number for studio management is posted inside the suite

Dress Code and Hygiene

• Members must be clean and free of dirt, mud, or debris
• Members must be dry and free of perspiration
• Long sleeves and long pants are required at all times while using the chairs
• Shoes must be removed; socks are required

Facility Use

• No food or drinks (including water) while in the massage chairs
• Members must clean chair surfaces with provided wipes after use
• Report any equipment malfunctions or maintenance needs via the app or email
• No smoking or vaping inside the studio or within 25 feet of the entrance

Security

• Door codes are personal and must never be shared with anyone, including other members
• Sharing your door code will result in immediate membership termination without refund
• Members must ensure the door is fully locked before using the chairs and upon leaving
• Délassant is not responsible for lost or stolen personal items

Guests

• Members may bring one guest per month
• Guests must be at least 18 years of age
• Guests must agree to abide by all membership rules
• Members are responsible for their guests' conduct and any damages caused by guests

General Conduct

• Arrive on time; late arrivals do not extend the reserved time slot
• Silence phones and maintain a peaceful atmosphere
• Members are responsible for any damages to chairs resulting from abnormal or forced use

11. Violations and Termination

Violation of these Terms or facility rules may result in:

• Verbal or written warnings
• Temporary suspension of membership
• Permanent termination of membership without refund

We reserve the right to terminate any membership at our sole discretion, with or without cause, upon providing notice to the member. In cases of termination without cause, prorated refunds will be provided.

12. Limitation of Liability

DISCLAIMER OF WARRANTIES: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, DÉLASSANT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

MAXIMUM LIABILITY: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

ASSUMPTION OF RISK: You acknowledge that use of massage chairs involves inherent risks, including but not limited to muscle soreness, discomfort, or aggravation of pre-existing conditions. You voluntarily assume all risks associated with the use of our facilities and equipment.

13. Indemnification

You agree to indemnify, defend, and hold harmless Délassant and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your conduct at our facilities
• Any damage you cause to our property or equipment

14. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our services, you consent to the collection and use of your information as described in our Privacy Policy, including:

• Personal information provided during registration
• Payment information processed through Stripe
• Reservation and usage data
• Communications with our team

15. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our website and in our facilities are the property of Délassant or our licensors. You may not use, reproduce, or distribute any content without our prior written permission.

16. Dispute Resolution

Informal Resolution: Before initiating any formal dispute resolution process, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.

Arbitration: Any disputes arising out of or relating to these Terms or our services that cannot be resolved informally shall be resolved through binding arbitration in Deschutes County, Oregon, in accordance with the rules of the American Arbitration Association.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Deschutes County, Oregon.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our services after the effective date of any modifications constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Délassant regarding your use of our services and supersede all prior agreements and understandings.
